Welcome to Foresiteads (the "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at foresiteads.com (the “Website”) and our AI AdTech platform services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
1. Description of Service
Foresite provides an AI-driven AdTech platform designed to optimize advertising performance for eCommerce businesses. Our Services include, but are not limited to, ad budget management, performance optimization, and AI-generated insights.
2. Eligibility and Account Registration
Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Services.
Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Accuracy: You agree to provide accurate and complete information when creating an account.
Responsibility for Data Accuracy:
"As-Is" Provision: Foresiteads makes no warranty or guarantee regarding the completeness or accuracy of the data, our service is provided on an "as-is" or "as-available" basis. Please note that due to the nature of our business and the nature of attribution of ads customer data may change over time
Sanctioned Countries: You agree not to attempt to log on to the website or any mobile application from any country sanctioned by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury (Treasury). These countries change from time to time and Foresiteads will adapt as those changes are made by the United States government. At present, these countries include: Cuba, Iran, North Korea, Russia, and Syria. We may block, restrict, or terminate your access to the website or the mobile applications if you attempt to log on to the website or mobile application from an OFAC sanctioned country.
3. Subscription and Billing
Pricing: Foresite offers flexible, a la carte pricing with no hidden costs. Our fees are detailed on our website and are based on a monthly subscription model.
Payment: Fees are billed monthly and are due upon receipt of invoice.
Cancellations: Our Services are provided on monthly contracts and will renew automatically. You may cancel your subscription at any time, effective at the end of your current billing cycle.
4. Acceptable Use
You agree not to use the Services to:
Violate any applicable laws or regulations.
Distribute malware, spam, or engage in unauthorized access.
Reverse engineer, decompile, or attempt to extract the source code of our AI models.
Use the Services for any fraudulent or deceptive advertising practices.
5. Intellectual Property
Our Content: All software, AI models, logos, and website content (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
User Content: You retain ownership of any data or materials you provide to us ("User Content"). By using the Services, you grant us a non-exclusive, worldwide, royalty-free license to use your User Content solely to provide and improve our Services for you.
User Contributions: The Website may contain message boards, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. We may update the content on this Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.
Disclaimers and Limitation of Liability
No Guarantee of Results: While Foresite aims for high ROAS (Return on Ad Spend), we do not guarantee specific financial outcomes from your advertising campaigns.
Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORESITE’S ITS AFFILIATES’, OR THEIR LICENSORS’, SERVICE PROVIDERS’, EMPLOYEES’, AGENTS’, OFFICERS’, OR DIRECTORS’ TOTAL LIABILITY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) FOR ANY CLAIM SHALL NOT EXCEED ONE MONTH OF THE SUBSCRIPTION FEE PAID BY THE CLIENT. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Liability for Service Outages. To the extent that all or part or any portion of the Services are unavailable, interrupted, degraded or otherwise unsatisfactory for any reason, Foresite’s sole and exclusive responsibility and liability shall be to grant 1 month of credit as compensation for said outage.
Disclaimer of Warranties: TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK.
